Please read these Terms and Conditions ("Terms") carefully before using MedSpaAI (the "Service"), operated by MedSpaAI ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account, subscribing to a plan, or otherwise using MedSpaAI, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations.
MedSpaAI is a software-as-a-service (SaaS) platform that provides AI-powered client retention, win-back campaign, and automated follow-up tools designed for medical spas and aesthetic practices. Features include, but are not limited to, lapsed client identification, AI-generated email campaigns, follow-up sequences, and retention analytics.
MedSpaAI offers paid subscription plans billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate of your selected plan. All fees are stated in US dollars and are non-refundable except as expressly set forth in these Terms or required by applicable law.
We may offer a free trial period at our discretion. At the end of the trial, your account will require a paid subscription to continue. We reserve the right to modify or discontinue free trial offers at any time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
You agree not to use the Service to:
You retain ownership of all client data you upload to MedSpaAI. By uploading client data, you represent that you have obtained all necessary consents and permissions to use that data in connection with the Service, including the right to send marketing communications to your clients. You are solely responsible for ensuring your use of the Service complies with all applicable privacy and data protection laws, including HIPAA if applicable to your practice.
We process your data as described in our Privacy Policy. We do not sell your client data to third parties.
The Service uses artificial intelligence to generate email content, campaign copy, and other materials. You acknowledge that AI-generated content may not always be accurate, appropriate, or suitable for your specific situation. You are solely responsible for reviewing, editing, and approving all content before sending it to your clients. We make no warranty regarding the accuracy, completeness, or fitness of AI-generated content for any particular purpose.
The Service, including all software, designs, text, graphics, logos, and other content created by us, is owned by MedSpaAI and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during your subscription term. You may not copy, modify, distribute, sell, or lease any part of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS RESULTS, REVENUE INCREASES, OR CLIENT RETENTION OUTCOMES FROM USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDSPAAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless MedSpaAI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
